VP, Associate General Counsel - M&A and Corporate Securities (Cybersecurity)

Location: Sunnyvale, California headquarters; four days in the office per week for nearby employees, with remote work possible but frequent onsite attendance expected.

Base pay range: $245,400–$337,370 annually for the San Francisco Bay Area, including Sunnyvale. Variable compensation and/or equity may also be available.

What you will do

• Lead legal work for capital markets, financing, acquisitions, tender offers, strategic investments, partnerships, and other corporate transactions.
• Advise senior management and the board on corporate governance, securities regulation, investor relations, shareholder matters, and executive compensation.
• Run board and committee operations, including agendas, materials, minutes, resolutions, and action items.
• Build the insider trading compliance program and lead public company readiness, including governance structures, exchange listing requirements, SEC reporting, proxy materials, and annual meeting processes.
• Oversee equity incentive plans, subsidiary governance across more than 70 entities, corporate insurance, ESG matters, and domestic and international real estate matters.
• Manage outside counsel, cross-functional initiatives, and the growth and development of the corporate legal team.

Requirements

• 12+ years of corporate and securities experience, including top Am Law 100 training and meaningful in-house experience at a publicly traded technology or cybersecurity company.
• Direct experience taking a company public or operating within a newly public company; IPO and initial listing experience strongly preferred.
• Hands-on experience leading M&A and other strategic transactions from structuring and diligence through negotiation, closing, and integration.
• Deep knowledge of the Securities Act, Exchange Act, proxy rules, Section 16, exchange listing standards, credit agreements, covenant compliance, amendments, and refinancings.
• Meaningful boardroom, investor engagement, team leadership, project management, and stakeholder management experience.
• Strong business, accounting, finance, tax, written communication, and problem-solving skills, with the ability to use AI for process and document improvement.

Nice to have

• Experience with a private-equity-backed capital structure or private-equity sponsor board.
• IPO and initial exchange listing experience.
