Legal Counsel (Corporate/M&A)

Location: Atlanta, Georgia, USA; flexible hybrid working model with in-person and virtual work supported.

What you will do

• Manage complex corporate and commercial agreements, including domestic and cross-border acquisitions, investments, divestitures, restructurings, and joint ventures.
• Support post-acquisition integration, corporate structuring, risk-management strategies, global expansion, and new-market entry.
• Draft, review, and negotiate partnering, purchase, confidentiality, debt, licensing, vendor, supply, and other commercial agreements.
• Advise resellers, customers, solution partners, OEMs, suppliers, governments, and other stakeholders while balancing legal, technical, and business considerations.
• Provide legal support for product design, development, implementation, high-volume electronic contracting, and changing technology products.
• Advise on AI, big data, IoT, data privacy, employment matters, and other emerging regulatory issues.

Requirements

• Bachelor’s degree in a related field and a JD from an ABA-accredited law school.
• Licensed to practice law in a U.S. state and a member in good standing of the applicable bar association; California, Delaware, Georgia, New York, or Texas preferred.
• Broad corporate and M&A experience, particularly with technology transactions and global corporate and tax structuring.
• Experience with common- and civil-law jurisdictions, multinational regulated organizations, and government entities.
• Knowledge of telematics, software, programming, computing, data privacy, AI laws, and applicable industry regulations.
• Strong negotiation, communication, analytical, project-management, relationship-management, and organizational skills.
