Senior Counsel, Corporate (Healthcare)

What you will do

• Provide legal and business guidance on financings, M&A, joint ventures, strategic investments, diligence, negotiation, execution, and integration.
• Support treasury matters, including equity and debt offerings, credit facilities, intercompany agreements, charitable support, and foundations.
• Manage corporate secretarial activities, including board and committee materials, notices, agendas, minutes, and annual shareholder meetings.
• Oversee the creation, management, compliance, reporting, audits, and dissolution of domestic and foreign entities.
• Develop and maintain equity plans, executive compensation programs, SEC compliance procedures, insider trading policies, and Section 16 filings.
• Partner with Internal Audit, Finance, Compliance, and other functions on risk management, insurance, policies, agreements, disputes, budgets, and external counsel.

Requirements

• Juris Doctor degree from an accredited law school.
• Admission to a United States state bar in good standing is required.
• At least 7 years of legal experience, preferably including 3 or more years as in-house counsel in healthcare.
• Experience with private and public company financings, corporate governance, M&A, and equity compensation.
• Strong knowledge of SOX, the Dodd-Frank Act, Nasdaq listing standards, and corporate governance requirements.
• Strong analytical, negotiation, communication, project management, and legal judgment skills, with the ability to work independently and collaboratively.

Nice to have

• Knowledge of healthcare fraud and abuse laws, FDA regulations, HIPAA, GDPR, and the Foreign Corrupt Practices Act.
