In-House Counsel (Americas) (Cybersecurity)

Location: Boston, MA; hybrid work with 2–3 days per week in the office

Base salary: $149,000–$209,000 per year

What you will do

• Review and approve sales quotes, ensuring accurate terms and alignment with company guidelines.
• Draft, review, and negotiate customer agreements, including order forms, MSAs, amendments, DPAs, security addenda, and AI addenda.
• Partner with Sales, RevOps, and Finance to resolve commercial requests and improve contracting responsiveness.
• Apply contracting playbooks and approval thresholds, propose practical solutions, and escalate exceptions.
• Support vendor and procurement agreements in Ironclad, as well as occasional marketing agreements.
• Build independence in customer negotiations and improve legal workflows.

Requirements

• Law degree from an accredited university and admission to a U.S. bar in good standing.
• At least 1 year of law firm or in-house experience, including exposure to SaaS contracts and familiarity with DPAs.
• Transactional training with practical drafting and negotiation skills.
• Foundational understanding of privacy, information security, and AI contract issues, with willingness to learn the products and use AI tools.
• Strong judgment, clear communication, attention to detail, and ability to manage high-volume work alongside complex matters.
• Fluent English and availability to work from the Boston office 2–3 days per week.

• Experience with large-enterprise or public-sector agreements.
• Spanish or Portuguese language skills.
