Senior Corporate Counsel – Legal Transactions (AI/Cloud)

Location: United States; hybrid work with three days per week required in the San Ramon, California office. San Ramon, Dallas, and the U.S. East Coast are preferred locations.

Base salary: $95,200–$265,200 USD annually, plus potential bonus, stock, and other incentive compensation.

What you will do

• Draft, review, and negotiate master services, data processing, partner, reseller, vendor, licensing, confidentiality, and service level agreements.
• Lead complex transactions with customers and partners across retail, insurance, finance, healthcare, and other industries.
• Advise stakeholders on liability, AI and data use, privacy, cybersecurity, and regulatory compliance.
• Partner with Sales, Operations, Product, Compliance, Procurement, and Finance to close customer and partner transactions.
• Identify legal risks and provide practical solutions aligned with business objectives.
• Improve contract templates, negotiation playbooks, FAQs, and scalable legal processes.

Requirements

• Juris Doctor degree from an accredited law school.
• Active membership in good standing with at least one U.S. state bar.
• 7+ years of combined law firm and in-house legal experience, including 4+ years negotiating complex agreements in a technology sales environment.
• Significant experience with SaaS, cloud, telecommunications, data privacy, AI, cybersecurity, and regulatory compliance matters.
• Strong commercial judgment, drafting skills, organization, and ability to manage multiple negotiations in a high-pressure environment.
• Ability to translate complex legal and regulatory requirements into practical business guidance.

Nice to have

• Experience supporting AI-enabled and data-driven technology products.
• Familiarity with HIPAA, GDPR, SOC 2, CCPA/CPRA, and other privacy frameworks.
• Knowledge of cloud-company go-to-market, customer experience, finance, contract lifecycle management, and legal operations processes.
