Corporate Counsel (Semiconductor)

Location: USA - Remote - CA (Greater Bay Area). This remote-eligible role cannot be performed from AL, AK, AR, DE, GA, HI, IL, IA, LA, ME, MD, MS, MO, NE, NV, NJ, NM, ND, OK, PA, RI, SC, SD, TN, WV, WI, or WY.

Salary: $155,800–$204,435 per year, depending on experience, skills, and background.

What you will do

• Draft, review, and negotiate commercial agreements, including supply, sales, procurement, software, services, licensing, lease, NDA, and joint development agreements.
• Advise sales, procurement, supply chain, finance, IT, engineering, HR, and other business partners on contract terms, risk allocation, and negotiation strategy.
• Improve legal workflows through templates, process automation, AI tools, training, and measurable efficiency initiatives.
• Monitor semiconductor-sector legal developments, including export controls, trade compliance, IP licensing, data privacy, GDPR, and CCPA matters.
• Support SEC reporting, corporate governance, compliance programs, employment matters, pre-litigation disputes, government inquiries, and outside counsel coordination.
• Support corporate development and M&A activities, including due diligence, ancillary documents, and post-closing integration.

Requirements

• J.D. from an ABA-accredited law school.
• Active membership in good standing with at least one U.S. state bar.
• At least 2–3 years of law firm experience; AmLaw 50 or equivalent experience is preferred.
• Strong contract drafting, negotiation, legal writing, judgment, attention to detail, and stakeholder management skills.
• Ability to manage a high volume of matters, work independently, prioritize effectively, and communicate with non-legal stakeholders.
• Experience with legal technology, process automation, and AI tools, together with a demonstrated record of continuous improvement.

Nice to have

• Familiarity with semiconductor-specific contract terms, including IP licensing and equipment and materials supply or purchase agreements.
