Corporate Counsel - Commercial

Location: Hybrid in Fort Mill, South Carolina, or Portland, Oregon; four days per week in-office and one day remote. Applicants must be legally authorized to work permanently in the United States. Relocation to one of these locations is possible, but relocation assistance is not available.

Starting salary: $144,000–$184,000 USD per year, depending on knowledge, skills, and experience.

What you will do

• Advise procurement organizations and business stakeholders on commercial contracting, risk management, sourcing, and strategic transactions.
• Draft, negotiate, and manage agreements with suppliers, technology providers, service providers, and strategic partners.
• Structure transactions that protect legal and business interests while supporting efficient execution.
• Drive adoption and optimization of legal technology, AI-powered solutions, contract lifecycle management systems, and knowledge resources.
• Develop contract templates, playbooks, negotiation guidance, and training materials.
• Partner with Corporate Compliance, monitor legal developments, and manage outside counsel and legal resources.

Requirements

• Juris Doctor degree from an accredited law school.
• Active membership in good standing with a state bar and the ability to practice in Oregon or South Carolina as in-house counsel.
• At least eight years of relevant legal experience supporting procurement, supply chain, manufacturing, industrial, automotive, transportation, technology, or software-driven businesses.
• Significant experience drafting, negotiating, and advising on complex commercial agreements.
• Experience with contract management, legal operations, process improvement, or continuous improvement initiatives.
• Permanent legal authorization to work in the United States is required; visa sponsorship and existing visa holders are not accepted.

Nice to have

• Experience with federal procurement, military contracts, or government contracts.
• Experience preparing corporate governance documentation.
• Experience supporting acquisitions, joint ventures, strategic commercial transactions, or corporate development initiatives.
