Manager, Legal (Procurement)

What you will do

• Draft, review, and negotiate procurement agreements covering hardware, software, SaaS, networking, maintenance, professional services, statements of work, and NDAs.
• Support strategic supply agreements for compute, networking, and storage, including pricing, delivery, warranties, service levels, data protection, intellectual property, indemnities, and liability terms.
• Advise Procurement, Supply Chain, Engineering, Finance, Nscale Cloud, and AI Infrastructure stakeholders on legal risk and deal execution.
• Review supplier terms covering data protection, information security, export controls, sanctions, and anti-corruption requirements.
• Develop templates, clause libraries, playbooks, FAQs, and contracting processes for scalable self-service.
• Supervise the Procurement Paralegal, partner with Legal Operations on contract lifecycle management, and train business teams.

Requirements

• JD from an accredited US law school and active membership in good standing of at least one US state bar.
• 5–8 years of legal experience in a law firm and/or in-house environment, focused on commercial and procurement contracts.
• Hands-on experience negotiating software, hardware, networking component, and technology services agreements.
• Strong understanding of licensing, SaaS, data protection, warranties, indemnities, and limitations of liability.
• Ability to manage a high volume of matters independently and escalate material issues appropriately.
• Strong drafting, negotiation, communication, and collaboration skills.

Nice to have

• In-house experience at a cloud provider, data center operator, telecom, semiconductor, or high-growth technology company.
• Familiarity with hardware supply chain concepts, trade compliance, CLM tools, and scalable contracting processes.
