Corporate and Commercial Counsel (Real Estate)

Location: On-site in Miami, Florida or New York, New York

Salary: $160,000–$200,000 per year plus equity

What you will do

• Structure, draft, review, analyze, negotiate, and interpret commercial agreements, including vendor, construction, design, events, and marketing agreements.
• Partner with business teams to align legal strategy with business strategy.
• Support corporate transactions by drafting corporate consents and assisting with post-closing integration.
• Maintain the corporate structure across Florida, Delaware, and international subsidiaries, including written consents, officer certificates, board resolutions, and entity organization charts.
• Coordinate with outside counsel on product and regulatory matters.
• Advise on operational legal issues, including lease compliance and property-level matters.

Requirements

• 2–4 years of experience in general corporate or ECVC work at a large law firm, or comparable corporate and commercial in-house experience at a high-growth or venture-backed company.
• Experience with multi-entity corporate structures and subsidiary governance.
• Ability to own legal work end-to-end and grow with the business.
• Strong written and verbal communication skills.
• Admission and good standing with the Florida or New York state bar, corresponding to the position location.
