Managing Counsel (AI Data Center Infrastructure)

Location: Sunnyvale, California, or remote within the United States; hybrid

What you will do

• Lead legal strategy for data center acquisitions and digital infrastructure transactions from diligence through closing.
• Structure and negotiate financing components, leases, colocation, capacity reservation, development, and connectivity agreements.
• Manage long-term legal relationships with data center operators, lessors, financing sources, and capacity customers.
• Advise on construction, design, long-lead equipment, supply chain, regulatory matters, and disputes after acquisitions.
• Advise on corporate structure, governance, and risk related to infrastructure transactions.

Requirements

• 10+ years of direct legal experience with data center providers, neo-clouds, or hyperscalers, focused on real estate and physical infrastructure transactions.
• Experience negotiating complex leases or colocation agreements; experience with single-tenant facilities and behind-the-meter power arrangements is valuable.
• Experience leading sophisticated transactions across business and technical teams and managing complex interdependencies.
• Ability to negotiate technical terms covering compute infrastructure, hardware specifications, data center operations, equipment, power, and utilities.
• Experience with transaction diligence, regulatory issues, and dispute resolution.
• J.D. and active bar admission required; a mix of law firm and in-house experience is preferred.
