TL;DR
Sr. Counsel, Securities (Corporate Governance) (SEC Reporting/Public-Company Compliance): Leading securities-law compliance, SEC reporting, public-company disclosures, corporate governance, Board processes, shareholder meetings, and related finance and M&A legal matters with an accent on accurate filings, disclosure controls, Section 16 compliance, and NYSE requirements. Focus on advising directors and executives, executing proxy and annual meeting processes, monitoring regulatory developments, and coordinating complex governance work with internal stakeholders and outside counsel.

Location: Bloomington, Minnesota, United States. This team is implementing a hybrid schedule with time in the office and at home. Applicants must be legally authorized to work in the United States; visa sponsorship is not available.

Annual salary: $160,000–$200,000, plus potential incentive compensation.

What you will do

  • Lead legal oversight of SEC periodic and current reporting, proxy materials, securities filings, and public-company disclosures.
  • Advise management on materiality, disclosure controls, earnings releases, investor communications, and regulatory developments.
  • Manage Section 16, Rule 144, insider-trading, retirement plan reporting, SEC, and NYSE compliance.
  • Support corporate governance and the General Counsel in the corporate secretary function, including Board and committee materials, minutes, resolutions, and governance documentation.
  • Lead the legal planning and execution of the annual shareholder meeting, including proxy statements, shareholder proposals, questionnaires, and related-party transaction reviews.
  • Support mergers and acquisitions, finance-related matters, and coordination with internal stakeholders and outside counsel.

Requirements

  • J.D. from an accredited law school and membership in good standing of at least one state bar.
  • 10+ years of professional legal experience, ideally combining law-firm and in-house public-company experience.
  • Strong expertise in securities law, corporate governance, public-company compliance, and related legal matters.
  • Excellent judgment, communication, analytical, strategic, and problem-solving skills.
  • Ability to collaborate with the Board, executive leadership, business development, reporting, investor relations, treasury, and outside counsel.
  • Willingness to travel up to 20%.
