Senior Corporate Counsel (Fintech)

What you will do

• Draft, negotiate, and manage complex commercial agreements, including crypto, payment, liquidity provider, custody, and payment processing contracts.
• Oversee corporate governance for US and global entities, including board resolutions, minute books, formations, and dissolutions.
• Provide end-to-end legal support for fundraising rounds and M&A transactions, including due diligence, data rooms, and definitive agreements.
• Coordinate with outside counsel to maintain high-quality and cost-effective transaction support.
• Advise Product, Finance, HR, and Operations on legal issues, risks, templates, and playbooks.
• Support MTL applications and monitor regulatory requirements across multiple jurisdictions.

Requirements

• J.D. from an accredited US law school and active bar membership in at least one US jurisdiction.
• At least 5 years of experience in a high-growth in-house environment.
• Experience in fintech, payments, or crypto/Web3 is highly preferred.
• Ability to explain legal concepts clearly, briefly, and effectively to non-lawyers.
• Comfort working with ambiguity and adapting to a fast-paced global regulatory environment.
