Corporate Counsel (SaaS)

Location: Hybrid in McLean, VA; remote-first work from the DC or NY metro area

hirify.global provides fraud protection, privacy, and compliance analytics for Connected TV, mobile applications, and websites.

What you will do

• Coordinate annual financial, corporation tax, VAT, R&D tax credit, and service provider utilisation filings.
• Draft, negotiate, and amend SaaS subscription and data licensing agreements.
• Manage incorporation projects for international affiliates and subsidiaries.
• Draft intercompany agreements and board resolutions for international entities, including Ireland and Delaware.
• Support fundraising activities, including Series A, venture debt, and convertible note transactions.
• Identify governmental incentives and support legally compliant corporate growth.

Requirements

• 5–7 years of experience in a similar corporate governance or legal role.
• Bachelor’s degree and legal education such as an LLB, GLD, or JD.
• Deep knowledge of SaaS agreements, user rights, service-level agreements, and applicable laws.
• Experience with data protection and information security laws, including GDPR, CCPA, CPA, and CTDPA.
• Experience drafting and presenting board resolutions, structuring intercompany agreements, and collaborating with product teams.
• Ability to work from the DC or NY metro area and attend a hybrid workplace in McLean, VA.

• Startup and SaaS experience.
• Familiarity with OECD Guidelines for Multinational Enterprises.
