Corporate Counsel (Fintech)

What you will do

• Provide practical legal and regulatory advice on UK and relevant EMEA requirements.
• Support fundraising rounds and strategic transactions, including due diligence, data rooms, corporate approvals, investment documentation, cap table changes, and governance.
• Partner with legal, compliance, risk, and business teams on new-market launches, licensing, regulatory mapping, and corporate governance.
• Draft, review, and negotiate referral, marketing, sponsorship, and other commercial agreements.
• Advise on advertising, promotions, digital campaigns, disclosures, co-marketing, and referral programmes.
• Manage outside counsel and use templates, playbooks, contract lifecycle tools, knowledge bases, and AI-enabled tools to improve legal work.

Requirements

• Qualification as a solicitor or barrister in England and Wales, or an equivalent qualification in another UK jurisdiction, with good standing.
• Experience in financial services and corporate law, preferably in a fast-growing technology or fintech company or top-tier law firm.
• Strong familiarity with the UK legal and business environment, FCA requirements, and cross-border rules affecting fintech and payments businesses.
• Experience drafting and negotiating corporate and commercial agreements, with strong written and verbal communication skills.
• Strong stakeholder management, analytical, and problem-solving skills, including collaboration across time zones and functions.
• Experience managing outside counsel, including scoping work, controlling costs, and consolidating advice.

Nice to have

• Experience with fundraising, M&A, strategic investments, due diligence, and deal execution.
• In-house experience in fintech, payments, or broader financial services across the UK and EMEA.
• Experience advising on marketing, advertising, promotions, digital marketing, referral programmes, or brand partnerships.
• Exposure to the Financial Services and Markets Act 2000, Payment Services Regulations 2017, Electronic Money Regulations 2011, FCA rules, and financial promotions requirements.
• Experience with regulatory legal, compliance, licensing, AI, or legal operations tools.
