Legal Counsel (Energy Trading)

What you will do

• Lead and support acquisitions, dispositions, joint ventures, strategic partnerships, financings, and other complex transactions.
• Advise on investments and commercial arrangements involving power generation, energy storage, midstream assets, data centers, large loads, and physical energy infrastructure.
• Support structured origination opportunities, including offtake arrangements, tolling structures, power purchase agreements, and energy management arrangements.
• Draft, review, and negotiate transaction, financing, trading, collateral, guarantee, and structured product documentation.
• Provide legal support for power, natural gas, environmental products, and related commodities trading activities.
• Coordinate transaction execution across Investments, Origination, Trading, Finance, Tax, Credit, Risk, Compliance, Operations, and Controllers while managing outside counsel and transaction budgets.

Requirements

• JD from an accredited law school and active license to practice in Texas, or eligibility for authorized in-house counsel status or reciprocal admission.
• Approximately 5 years of relevant experience in a leading law firm, in-house legal department, or a combination of both.
• Meaningful experience in energy, M&A, structured transactions, project development, or complex commercial investment transactions.
• Ability to lead transaction workstreams, manage multiple matters, prioritize material risks, and negotiate complex agreements with limited supervision.
• Strong contract drafting, issue-spotting, negotiation, communication, judgment, and collaboration skills.

Nice to have

• Experience with commodity trading, private equity, project finance, infrastructure, or asset-intensive investments.
• Experience with acquisition finance, secured lending, credit support arrangements, guarantees, or other financing transactions.
• Familiarity with ISDA, EEI, NAESB, WSPP, FERC, state utility commission, CFTC/Dodd-Frank, or ISO/RTO frameworks.
