Senior Legal Counsel (Corporate Governance)

hirify.global is hiring for its Counsel – Legal department.

What you will do

• Support corporate maturity initiatives and significant transactions through external-facing corporate and regulatory documentation.
• Own complex corporate records and disclosures, ensuring accuracy, consistency, and timely delivery.
• Manage board and committee materials, minutes, resolutions, equity documentation, and subsidiary governance across jurisdictions.
• Partner with Finance, Accounting, the General Counsel, and external advisors on disclosure controls and transaction readiness.
• Oversee paralegal support for document management, entity maintenance, and corporate legal operations.
• Monitor corporate and securities law developments and provide risks and recommendations to executive leadership.

Requirements

• Juris Doctor degree from an accredited law school.
• Active license to practice law in at least one U.S. jurisdiction.
• 6+ years of corporate and transactional legal experience, gained at a law firm and/or in-house at a high-growth or regulated company.
• Experience with or exposure to capital markets transactions, public-company readiness initiatives, or comparable large-scale corporate milestones.
• Strong understanding of corporate governance frameworks and disclosure principles.
• Ability to partner cross-functionally with Finance, Accounting, and external advisors.
