Legal Counsel (Software)

Location: Remote, Ontario, Canada

What you will do

• Provide legal counsel and support for portfolio acquisitions and related transactions.
• Draft, review, negotiate, and administer purchase agreements and ancillary documents, including letters of intent, disclosure letters, resolutions, and consents.
• Conduct legal due diligence and review documents for compliance with company standards, policies, and procedures.
• Customize templates and draft agreements suited to project requirements while negotiating terms with sellers.
• Assess, evaluate, and report transaction risks to support financial and operational performance.
• Manage legal review intake, perform triage, and maintain relationships with internal business partners and external counsel.

Requirements

• Active membership in the Law Society of Ontario is required.
• Two to five years of experience since being called to the bar.
• Excellent writing skills for complex legal documentation and strong attention to detail.
• Strong judgment, reasoning, diplomacy, research, analysis, organization, and time-management skills.
• Ability to manage multiple projects with shifting deadlines and changing priorities.
• Professional, responsive, resourceful, flexible, and collaborative working style.

Nice to have

• Experience in an in-house legal department.
• Experience in a telecommunications or software environment.
