Counsel (Corporate Law and Contracts)

Location: Brazil - Hybrid

What you will do

• Provide corporate legal opinions and support Wildlife entities in Brazil and abroad.
• Structure and apply corporate governance rules, and prepare board resolutions and meeting materials.
• Manage annual corporate compliance obligations and coordinate with external law firms across jurisdictions.
• Review and negotiate NDAs, vendor, licensing, service provider, real estate, insurance, intercompany, and financial agreements.
• Manage contract systems, stock option plans, the cap table, and shareholder register.
• Support audits and KYC/AML reviews, collaborate with Finance, Tax, Engineering, Live Games, and other functions, and build legal playbooks and automation initiatives.

Requirements

• Solid experience in Corporate Law and contracts.
• Prior experience with stock option plans.
• Law degree and active Brazilian Bar (OAB) membership.
• Working proficiency in English is required for international documents and meetings.
• Autonomous, organized, business-oriented approach with strong communication and social skills.
• Ability to manage multiple projects simultaneously and work with international entities and jurisdictions.

• Experience with M&A transactions.
• Experience with foreign entities and international jurisdictions.
• Background at startups, technology companies, or law firms with venture capital practices.
• LLM in Corporate Law.
