Legal Counsel (Healthcare IT)

Location: Toronto, Ontario, Canada; hybrid work with residence within commuting distance of the specified office required

Base salary: CAD 137,000–153,000 per year, plus bonus and benefits

What you will do

• Draft and negotiate services, product, technology, SaaS, software licensing, supplier, subcontractor, partnership, confidentiality, and data protection agreements.
• Prepare and negotiate master services agreements, business associate agreements, and related statements of work.
• Support subsidiary governance, intercompany arrangements, corporate records, board and shareholder approvals, and internal delegation processes.
• Support strategic transactions, including acquisitions, investments, reorganizations, and complex commercial partnerships.
• Manage multiple priorities, assess legal and business risks, and provide practical solutions to internal stakeholders.

Requirements

• JD and active membership in an applicable law society or a U.S. state bar.
• At least 5 years of commercial legal practice experience, including exposure to corporate legal matters.
• Experience independently negotiating complex business transactions under tight deadlines.
• Experience with corporate governance, subsidiary management, intercompany matters, and strategic transactions.
• Strong analytical, written, verbal, interpersonal, judgment, and business communication skills.
• Must reside within commuting distance of the Toronto office for the hybrid work schedule.

Nice to have

• Healthcare information technology licensing experience.
• SaaS licensing experience.
• Canadian and U.S. privacy compliance experience.
• Canadian and U.S. healthcare regulatory compliance experience, including HIPAA and PHIPA.
• Interest or experience in legal technology, process improvement, and artificial intelligence.
