General Counsel, Group (Venture Capital)

Location: New York, United States; remote work available.

Salary: 250,000–350,000 USD yearly

What you will do

• Own governance, Board and committee processes, operating agreements, written consents, officer appointments, and corporate records.
• Preserve the US adviser’s exempt reporting status and oversee regulatory obligations including anti-fraud, insider trading, pay-to-play, Form ADV, and Regulation D.
• Serve as Compliance Officer for the Americas and run the compliance program with internal resources and outsourced providers.
• Oversee fund offerings, investor solicitation, securities matters, fundraising materials, and red-flag reviews.
• Lead legal work on acquisitions, consolidations, equity raises, GP-stake and seeding structures, and entity restructurings.
• Advise executive leadership and the Board, manage outside counsel, and lead and develop the legal team.

Requirements

• JD or equivalent law degree and admission in good standing to at least one US state bar.
• 15+ years of post-qualification experience combining leading law firm and senior in-house experience in investment management, funds, asset management, venture capital, or private equity.
• Deep knowledge of the Investment Advisers Act, Investment Company Act exclusions, Regulation D, Form ADV, pay-to-play, and marketing rules.
• Experience serving as or directly supporting a Chief Compliance Officer and managing outsourced compliance providers.
• Experience leading M&A, equity raises, GP-stake or seeding arrangements, entity restructurings, and board-secretary responsibilities through to completion.
• Experience building legal operating systems, managing outside counsel, and developing lawyers.
