General Counsel, Group (Venture Capital)

Salary: 250,000–350,000 USD yearly

What you will do

• Own governance and board operations, including operating agreements, committee charters, written consents, appointments, records, and minutes.
• Preserve the US adviser’s exempt reporting status and oversee regulatory obligations covering anti-fraud, insider trading, pay-to-play, Form ADV, Regulation D, and sanctions escalation.
• Serve as Compliance Officer for the Americas and run the compliance program with internal resources and an outsourced provider.
• Oversee fund offerings, marketing materials, investor solicitation, securities matters, and fundraising reviews.
• Lead legal work for acquisitions, consolidations, equity raises, GP-stake and seeding arrangements, entity restructurings, and related transactions through closing.
• Lead and develop the legal team while managing outside counsel, legal standards, risk thresholds, and group-level legal operations.

Requirements

• JD or equivalent law degree and admission in good standing to at least one US state bar.
• 15+ years of post-qualification experience across investment management, funds, corporate law, and senior in-house work at an investment adviser, asset manager, venture capital, or private equity firm.
• Deep knowledge of the Investment Advisers Act, Investment Company Act exclusions, Regulation D, Form ADV, pay-to-play rules, and marketing rules.
• Experience serving as or directly supporting a Chief Compliance Officer and operating compliance programs with outsourced providers.
• Experience leading M&A, equity raises, GP-stake or seeding arrangements, and entity restructurings through closing.
• Experience with board secretary responsibilities, governance mechanics, outside counsel management, legal operating systems, and legal team leadership.
