Managing Counsel, Commercial (Autonomous Vehicles)

Location: Hybrid role based in San Francisco, CA; Toronto, ON; or Pittsburgh, PA, with remote work available in the US and Canada

What you will do

• Lead the commercial contracting function across hardware supply chain, strategic partnerships, software licensing, SaaS, professional services, consulting, testing, NDAs, and vendor agreements.
• Structure, draft, and negotiate supply agreements with Tier 1 manufacturers and OEMs.
• Lead legal work for OEM, platform, and corporate development partnerships supporting robotaxi and autonomous truck adoption.
• Advise engineering, supply chain, finance, and business development teams by translating contract risk into clear guidance.
• Build templates, fallback positions, forms libraries, and negotiation playbooks to scale contracting operations.
• Own post-signature contract compliance and support IP, open-source licensing, regulatory, export control, and data privacy matters.

Requirements

• 8+ years of legal experience, including significant in-house work with complex commercial transactions in automotive, hardware, or technology.
• Deep experience with hardware supply chain agreements, including IP ownership and licensing, warranties, liability, quality, and change-management terms.
• Experience structuring and negotiating strategic partnerships, OEM deals, or similar agreements built from scratch.
• Ability to advise technical and business teams in plain language and work independently across contracts of varying complexity.
• J.D. and active bar membership in a relevant US or Canadian jurisdiction.
• Hybrid work in San Francisco, Toronto, or Pittsburgh, with remote work available in the US and Canada.

Nice to have

• In-house experience at an automotive OEM, Tier 1 supplier, or autonomous vehicle company.
• Familiarity with IATF, AIAG, APQP, or PPAP automotive supply standards.
• Experience applying AI tools to legal workflows and contracting efficiency.
• Familiarity with open-source licensing, export control, or data privacy in autonomous vehicles or hardware.
