Legal Counsel (AI)

Location: Hybrid, based in San Francisco, CA or New York City, NY; office attendance required at least two days per week.

Salary: $225,000+ annual base salary, plus benefits and equity.

What you will do

• Own procurement and commercial contract reviews, including data rights, retention, and AI model training provisions.
• Assess fund and investment matters such as fee disputes, carry transfers, distributions, secondary transactions, side letters, and portfolio-company issues.
• Research and advise on the Securities Act, Investment Company Act, Investment Advisers Act, and related regulations.
• Use AI-assisted research and drafting workflows while verifying outputs and applying legal judgment.
• Develop reusable legal guidance, templates, and AI-assisted workflows from recurring issues.
• Support bespoke fund structures and strategic customer arrangements in collaboration with Product, Engineering, Fund Operations, Finance, Tax, Compliance, and Customer Success.

Requirements

• Corporate transactional capability, including ownership of commercial contract reviews and ordinary-course corporate matters.
• Comfort using AI tools, checking their outputs, and distinguishing automatable work from decisions requiring legal judgment.
• Ability to handle ambiguous, time-sensitive, and reactive legal matters and determine when to make a judgment call or escalate.
• Practical cross-functional approach to balancing legal risk with business realities.
• Fluency in or ability to quickly develop knowledge of fund governing documents, investor arrangements, securities, and investment-management concepts.
• Appetite for hands-on execution across recurring corporate work and time-sensitive legal matters.
