Commercial Legal Counsel (AI)

Location: Warsaw preferred; remote work available within Europe

What you will do

• Review, draft, and negotiate customer, supplier, and partner agreements under US law, including SaaS terms, order forms, NDAs, and DPAs.
• Own AI-specific contracting issues involving data use and training, output ownership, liability, and warranties.
• Lead legal readiness for enterprise deals and diligence, maintaining contract templates, negotiation positions, and an organised contract archive.
• Own practical data-protection work by translating regulatory and specialist advice into actions, owners, and deadlines.
• Manage external counsel across jurisdictions and specialist matters, including briefs, budgets, and advice.
• Support fundraising, corporate transactions, and records, approvals, filing deadlines, and authorities across US, Polish, and German entities.

Requirements

• Admitted to practise in a US state with hands-on experience drafting and negotiating US-law commercial contracts.
• Strong commercial judgment and the ability to distinguish material business risk from drafting preferences.
• Ability to own matters end to end, including negotiation, resolution, obligation tracking, follow-through, and escalation.
• Ability to coordinate EU and other jurisdictions while recognising when local or specialist counsel is needed.
• Precise written and spoken English is required.
• Organised, discreet, proactive, and able to propose a practical next step with each issue.

• GDPR familiarity and experience with B2B software, AI, or AI and data contracting.
• Experience with venture-backed companies and financing rounds.
• Experience with multi-entity or cross-border corporate management.
