IP Counsel, Transactions (AI)

Location: San Francisco, CA or New York City, NY. Hybrid policy requires staff to work from one of the offices at least 25% of the time, with some roles requiring more office attendance.

Annual salary: $335,000–$385,000 USD

What you will do

• Lead the IP workstream for acquisitions and strategic investments from diligence through closing and integration.
• Advise on and negotiate IP terms in enterprise, partnership, research collaboration, vendor, licensing, joint development, and services agreements.
• Act as the primary advisor on IP terms for commercial legal and business colleagues.
• Train colleagues to resolve routine IP questions and communicate risks and tradeoffs to business leaders.
• Build playbooks, templates, and scalable processes for handling IP terms across a high volume of deals.
• Contribute to IP strategy involving open source, trade secrets, patents, and emerging business models.

Requirements

• JD and active membership in at least one U.S. state bar.
• Substantial experience leading IP due diligence and negotiating IP terms in technology M&A.
• First-chair experience negotiating IP provisions in complex commercial technology agreements.
• Strong knowledge of open source licensing, employee and contractor IP assignments, and trade secret protection.
• Ability to communicate IP risks and tradeoffs clearly and exercise sound judgment.
• Ability to work from the San Francisco or New York City office at least 25% of the time.

Nice to have

• 10+ years of transactional IP experience at a nationally recognized law firm, technology company, or both.
• Experience building negotiation playbooks, templates, or diligence processes.
• Experience with AI, machine learning, data licensing, or other emerging technologies.
• Curiosity about AI and commitment to responsible development.
