Commercial & IP Counsel (AI AdTech)

Location: Remote; applicants must currently be located in Canada or the United States

Salary: Canada base salary band of $200,000–$275,000 CAD; USA base salary band of $220,000–$302,500 USD. Base salary only; additional compensation and benefits may apply.

What you will do

• Draft, negotiate, and interpret commercial agreements with clients, SSPs, publishers, ad exchanges, data providers, measurement vendors, and AI and automation suppliers.
• Manage IAB terms and conditions, including Standard Terms and Conditions and the Multi-State Privacy Agreement.
• Direct complex intellectual property and patent litigation, including strategy, enforcement actions, court proceedings, settlements, and IP licensing.
• Oversee patentability, freedom-to-operate, infringement, IP due diligence, and portfolio development with R&D and product teams.
• Provide legal and regulatory guidance on targeting, bidding algorithms, data integrations, AI, machine learning, automated decision-making, and advertising products.
• Develop AI-assisted legal workflows and support compliance, auditing, privacy, and protection of proprietary technology.

Requirements

• Juris Doctor from an accredited law school and an active license to practice in at least one Canadian province or US state.
• 6+ years of legal experience, including at least 3 years in an in-house commercial role and 3 years of complex litigation experience.
• Experience or strong aptitude in technology law, commercial agreements, intellectual property, patent litigation, and legal risk analysis.
• Ability to advise senior leadership and collaborate with product managers, engineers, data science, privacy, compliance, and commercial teams.
• Strong drafting, negotiation, analytical, communication, and project-management skills in a fast-paced environment.
• Ability and interest in using AI and automation tools to improve legal workflows.

Nice to have

• Certified Information Privacy Professional certification.
• Experience with AI-related legal and governance issues in ad tech, martech, or similar technology platforms.
• Fluency with AI and automation tools used in modern legal functions.
