Corporate Counsel

Location: Hybrid role based between a home office and the Burlington, Massachusetts headquarters, United States

Base salary: $110,500–$136,500 per year, plus eligibility for a performance-based annual corporate bonus plan.

What you will do

• Support all phases of M&A transactions, including legal diligence, definitive documentation, outside counsel coordination, and post-closing integration.
• Prepare SEC filings, including periodic and current reports, proxy statements, and Section 16 filings.
• Support corporate governance, board and committee materials, securities law compliance, and disclosure matters.
• Manage global subsidiary governance, including formations, dissolutions, foreign qualifications, restructurings, and integrations.
• Support executive, equity, and incentive compensation matters, as well as global real estate negotiations.
• Build and improve tools, workflows, and automation for corporate legal operations.

Requirements

• JD from an accredited law school.
• Admission to practice law in Massachusetts or licensure in the jurisdiction where you live and work, with willingness to obtain Massachusetts admission.
• 1–3+ years of relevant experience in a corporate law firm department or comparable in-house role.
• Strong organizational, project management, multitasking, communication, and collaboration skills.

Nice to have

• M&A and/or securities law experience.
• Exposure to public company governance.
• Experience working with AI tools.
