Associate Commercial Counsel

Location: United States, with preference for Mountain View, California. Hybrid or remote depending on location; travel expectations are less than 5%.

Salary: USD $98,250–$174,650 per year, with potential eligibility for a corporate bonus program.

What you will do

• Draft, review, and negotiate customer agreements covering on-premises software licensing, cloud-hosted services, consulting, and professional services.
• Support Deal Management and Sales teams with customer requests to modify standard contract terms.
• Provide practical legal advice on deal-related questions using independent judgment.
• Advise internal stakeholders on contract interpretation, customer concerns, and dispute resolution.
• Escalate novel or higher-risk matters to senior counsel.

Requirements

• Qualified to practice law in a US jurisdiction.
• At least 2 years of experience negotiating software and cloud services licensing agreements and related professional services agreements at a B2B company.
• Excellent drafting, negotiation, and communication skills.
• Ability to identify and mitigate legal and business risks and provide practical solutions.
• Ability to manage multiple priorities in a fast-paced environment with attention to detail.
• Collaborative approach to working with internal and external stakeholders.

Nice to have

• In-house experience at a United States-based technology company.
• Experience using AI tools in daily legal work.
• Juris Doctor degree or equivalent education and relevant professional experience.
