Corporate Paralegal (Space Technology)

Location: Burlingame, California, United States; on-site

Salary: $80,000–$130,000 per year, plus equity.

Develops satellite-based navigational intelligence and PNT infrastructure delivering real-time, centimeter-level positioning accuracy.

What you will do

• Administer and maintain the company’s Carta cap table, including equity issuances, exercises, transfers, cancellations, option grants, restricted stock awards, and secondary transactions.
• Prepare board and stockholder consents, board minutes, officer certificates, and other corporate governance documents.
• Maintain corporate records, capitalization summaries, subsidiary structures, and legal entity documentation.
• Manage entity formations, annual filings, registered agents, business licenses, and corporate compliance across multiple jurisdictions.
• Support venture financing transactions by coordinating closing documents, due diligence requests, investor materials, and KYC documentation.
• Manage legal records, document repositories, contract workflows, templates, DocuSign requests, and process improvements.

Requirements

• 4+ years of experience as a Corporate Paralegal or in a similar in-house corporate legal role.
• Paralegal certificate or Bachelor’s degree.
• Hands-on experience administering cap tables and equity compensation programs using Carta.
• Experience with corporate governance, board processes, and legal entity management.
• Exceptional attention to detail, organization, and project management skills, with discretion when handling confidential information.

Nice to have

• In-house experience at a venture-backed or high-growth technology company.
• Experience supporting Series A through Series D financing transactions.
• Familiarity with contract lifecycle management systems.
• Experience with IPO readiness or public company governance.
• Active Notary Public commission.
