Corporate Counsel or Senior Corporate Counsel (depending on level of experience)

Location: Hybrid, in-person in Menlo Park, California or Dublin, California, United States

Salary: $202,000–$265,600 per year

What you will do

• Prepare and review periodic reports, current reports, proxy statements, and related disclosure controls and procedures.
• Support corporate governance, including governance calendars, board and committee materials, and the annual shareholder meeting.
• Manage insider trading compliance, Section 16 reporting, and 10b5-1 trading plan administration.
• Support equity plan administration and compliance for US and international equity awards.
• Maintain corporate policies, including related-party transactions, insider trading, and 10b5-1 trading plan policies.
• Support securities law compliance and cross-functional initiatives involving investor relations, governance, financing, compliance, and international expansion.

Requirements

• 4+ years of public company legal experience, ideally in both a law firm and in-house environment.
• Experience preparing periodic reports, proxy statements, Section 16 reports, and registration statements.
• Experience maintaining a public company board and committee governance calendar.
• J.D. from an accredited law school and active membership in good standing in California.
• Strong ability to explain complex legal issues clearly, with excellent organization, responsiveness, and attention to detail.

Nice to have

• Experience supporting public company securities, governance, equity compensation, investor relations, financing, or international expansion matters.
• Experience in both law firm and in-house legal teams.
