Senior Corporate Counsel

Location: San Francisco, California, United States; office attendance is expected 3+ days per week. A relocation stipend may be available for candidates willing to relocate to a hirify.global hub location.

Salary: $229,000–$269,000 USD per year.

What you will do

• Support M&A and other strategic transactions, including deal structuring, letters of intent, due diligence, transaction agreements, and post-closing integration.
• Support IPO readiness, including cross-functional planning and S-1 drafting.
• Execute equity and debt financings and maintain securities compliance.
• Advise on corporate governance, board and shareholder matters, registrations, filings, entity administration, leases, and intercompany agreements.
• Manage stock administration, equity matters, employee equity education, insurance, and enterprise risk programs.
• Partner with Finance, Corporate Strategy, legal colleagues, external counsel, and sales leadership while improving scalable legal workflows.

Requirements

• JD degree and active membership in good standing of a state Bar.
• 5–8 years of corporate and securities law experience.
• Hands-on M&A transactional experience; IPO readiness or public-company experience is strongly preferred.
• Working knowledge of corporate, securities, and transactional matters, with sound judgment on escalation and outside-counsel engagement.
• Strong written and verbal communication, collaboration, organization, prioritization, discretion, and attention to detail.
• Ability to work from the San Francisco office at least 3 days per week.
