Corporate Counsel (Biotech)

Location: Remote; US target salary range applies

Base salary: $161,925–$227,325 per year, plus potential equity, cash bonuses, and other benefits.

What you will do

• Draft, review, and negotiate commercial, vendor, professional services, technology, software, data, confidentiality, and strategic collaboration agreements.
• Prepare and negotiate clinical trial, research, material transfer, business associate, and data-sharing agreements.
• Advise cross-functional teams on liability, indemnification, insurance, intellectual property, publications, privacy, data security, payment, and termination terms.
• Manage agreements from intake, issue spotting, and redlines through approvals, signature routing, execution, and closeout.
• Maintain contract matters in the contract lifecycle management system and improve templates, playbooks, fallback language, and intake processes.
• Partner with Clinical, Commercial, Corporate Development, Procurement, Finance, Quality, Regulatory, InfoSec, Product, and Engineering teams on business-critical matters.

Requirements

• JD from an accredited law school and active membership in good standing with at least one state bar; California admission or eligibility for Registered In-House Counsel status is preferred.
• 5+ years of relevant legal experience drafting and negotiating complex agreements, preferably in biotech, life sciences, diagnostics, medical devices, or healthcare.
• Experience with MSAs, SOWs, vendor and technology agreements, NDAs, clinical trial agreements, MTAs, research collaborations, and data-related agreements.
• Working knowledge of clinical research, HIPAA, healthcare contracting, data privacy, information security, publications, and intellectual property allocation.
• Hands-on experience with contract lifecycle management and electronic-signature systems.
• Strong drafting, negotiation, project-management, communication, ownership, and judgment skills, with the ability to balance legal risk and business objectives.
