Associate Corporate Counsel, Contracts (Biotech)

Location: Boston, Massachusetts, United States; hybrid schedule with a minimum of two on-site days per week, currently Tuesday and Wednesday

Salary: $181,000–$235,000 USD per year, with potential discretionary annual bonus and long-term incentive award.

What you will do

• Draft, review, and negotiate commercial agreements, including CDAs, MSAs, CRO and vendor agreements, and consulting agreements.
• Partner with Procurement, R&D, and other business functions to support contracting needs and timelines.
• Maintain and improve contract templates, playbooks, and negotiation guidelines.
• Advise internal stakeholders on contractual risk, obligations, and compliance considerations.
• Support the contract lifecycle management system, including tracking and record-keeping.
• Assist with due diligence and contract review for business development and licensing transactions, escalating higher-risk or novel issues when appropriate.

Requirements

• JD from an accredited law school and active bar membership in good standing.
• At least five years of relevant contracts or transactional experience in-house or at a law firm.
• Strong knowledge of commercial contract law and life sciences agreements, including CDAs, MSAs, and clinical trial agreements.
• Working knowledge of intellectual property, confidentiality, risk allocation, indemnification, and contract lifecycle management systems.
• Strong drafting, negotiation, client-counseling, judgment, and communication skills.
• Ability to prioritize high-volume contracting requests, improve legal processes, and explain contractual risk to non-legal stakeholders.
