Senior Counsel, Commercial

Salary: $185,000–$250,000 annually

What you will do

• Lead the drafting, review, and negotiation of commercial agreements for retail, e-commerce, B2B, subscription, distribution, reseller, marketplace, and vendor channels.
• Advise sales organizations on customer relationships, channel programs, promotions, incentives, rebates, warranties, returns, and subscription sales.
• Partner with Finance, Procurement, and business leaders on deal structures, pricing, approvals, and commercial strategy.
• Review marketing, advertising, packaging, website, social media, product-claim, sponsorship, influencer, media, and agency materials and agreements.
• Advise on advertising law, FTC guidelines, consumer protection, endorsements, testimonials, comparative advertising, promotions, contests, loyalty programs, and content licensing.
• Develop contract templates, playbooks, and scalable processes while identifying ways to use AI in legal and business operations.

Requirements

• Juris Doctor from an accredited law school.
• Good-standing membership in the California state bar or California Registered In-House Counsel status.
• 8+ years of practicing attorney experience, with substantial commercial transactions and sales and marketing counseling experience in technology or consumer products.
• Experience drafting and negotiating distribution, reseller, supply, SaaS, marketplace, and other complex commercial agreements.
• Experience advising on e-commerce, direct-to-consumer, subscription models, advertising law, FTC guidelines, and consumer protection regulations.
• Strategic, pragmatic communication and relationship-building skills, with enthusiasm for AI and emerging technologies.
