Senior Commercial Counsel - USDS (Technology)

Location: San Jose, United States; fully in-person schedule up to 5 days a week

Salary: $213,000–$419,200 annually, plus potential discretionary bonuses, incentives, and restricted stock units.

What you will do

• Lead strategic negotiation and drafting of commercial agreements, with a focus on SaaS, licensing, and professional services contracts.
• Design legal templates, playbooks, and cross-functional training programs to improve operational efficiency.
• Identify legal risks in commercial agreements and provide practical guidance on mitigation, policies, and compliance.
• Partner with legal, finance, procurement, trust and safety, product and engineering, and security teams.
• Ensure alignment with company objectives, internal policies, regulatory mandates, and contractual commitments.

Requirements

• J.D. degree from an ABA-accredited law school and active membership in good standing with a U.S. state bar.
• 8+ years of experience in commercial transactions, including experience in the technology sector.
• Experience reviewing, drafting, and negotiating complex commercial agreements.
• Strong communication, collaboration, judgment, organization, and relationship-building skills.
• Ability to independently prioritize and manage competing priorities in a fast-paced environment.

• In-house corporate legal department experience focused on technology transactions.
• Experience negotiating technology transactions in the adtech space.
