Director, Legal Counsel, Corporate & Securities

Location: Denver, Colorado, United States. On-site role.

Compensation: $220,000–$260,000 per year plus bonus, including Restricted Stock Units.

What you will do

• Lead corporate governance activities, including Board and committee materials, stockholder consents, notices, annual meetings, minutes, and resolutions.
• Advise on charters, bylaws, voting agreements, investor rights agreements, and other corporate and investor documents.
• Develop securities disclosures, regulatory reporting, disclosure controls, information governance, and communications protocols.
• Advise on insider trading policies, equity transaction reporting, and securities law compliance.
• Provide cross-coverage for equity and debt capital markets transactions, including diligence, closing support, KYC requests, and post-closing compliance.
• Partner with Finance, Accounting, Investor Relations, HR, investors, banks, and business stakeholders on corporate and securities matters.

Requirements

• Juris Doctor degree from an accredited law school and active membership in good standing in at least one U.S. state bar.
• 4–7 years of corporate and securities experience at a top-tier law firm, focused on corporate governance, securities compliance, and regulatory reporting.
• Deep expertise in Board and stockholder governance, securities disclosure obligations, and insider trading compliance.
• Working knowledge of capital markets transactions, including Rule 144A and private placements.
• Strong analytical, communication, business judgment, organizational, and problem-solving skills, with the ability to handle confidential information.
• Proficiency with Google Workspace, Microsoft Office, and AI tools such as Claude and Gemini.
