Senior Legal Counsel, Corporate & Securities

Location: United States, with a preference for New York-based candidates. Remote candidates must be based on the East Coast. Team members near key hubs are expected to work from the office at least three days per week.

Salary: $240,000–$260,000 annually, plus bonus, equity, and benefits.

What you will do

• Build and scale the corporate legal function as the dedicated corporate and securities lawyer.
• Manage the equity program with support from the Equity Plan Manager.
• Support securities offerings, debt and equity financings, investments, acquisitions, divestitures, joint ventures, and other strategic transactions.
• Drive transaction readiness, compliance programs, policies, procedures, and training initiatives.
• Prepare and plan for board, committee, and annual stockholder meetings.
• Oversee global entity management, corporate administration, executive compensation, and stock administration while collaborating with Finance, HR, Marketing, and other departments.

Requirements

• J.D. degree from an A.B.A.-accredited law school and admission in good standing to a state bar, preferably New York or California.
• 5+ years of experience as corporate and securities counsel.
• General corporate transactional experience with a strong background in securities laws.
• Experience negotiating and managing debt and equity financings, secondary transactions, M&A, and joint ventures.
• Experience in a high-growth technology company, particularly a B2B software or SaaS company.
• Strong communication, prioritization, ethical judgment, and cross-functional collaboration skills.
