Corporate Counsel (Healthcare Technology)

Location: US Remote; compensation range specified for US-based candidates

Salary: $170,000–$210,000 annually, plus potential equity compensation

What you will do

• Support strategic transactions, including M&A, investments, capital markets, and financing transactions.
• Assist with SEC filings, including 10-Ks, 10-Qs, 8-Ks, proxy statements, Section 16 reporting, and NYSE submissions.
• Advise on corporate governance, entity management, reorganizations, intercompany transactions, and corporate filings.
• Review investor relations materials, earnings communications, public statements, and internal communications.
• Provide practical, risk-based legal advice to executives and cross-functional teams on corporate and securities matters.
• Monitor new and proposed laws, coordinate with outside counsel and subject-matter experts, and recommend compliance or governance improvements.

Requirements

• Juris Doctor from an ABA-accredited law school and an active license to practice law in at least one US jurisdiction.
• 4+ years of post-law-school experience in corporate, securities, and/or M&A law.
• Experience leading strategic transactions and advising on corporate governance for public companies.
• Experience with SEC rules, public-company compliance, periodic reporting, and Regulation FD.
• Experience advising senior leadership and translating complex legal issues into clear, business-oriented guidance.
• Strong communication, negotiation, project management, prioritization, and cross-functional collaboration skills.

• Experience in the technology or healthcare industries.
• Familiarity with the FDA and other healthcare laws and regulations.
