Director, Legal Counsel, Corporate & Securities (AI Infrastructure)

Location: On-site in San Francisco, California or New York, New York, United States

Salary: $240,000–$285,000 per year plus bonus and Restricted Stock Units

What you will do

• Lead preparation of Board of Directors and committee materials, including agendas, presentations, minutes, and resolutions.
• Manage stockholder consents, notices, voting analysis, and annual stockholder meeting logistics.
• Develop and review securities disclosures, investor reporting, disclosure controls, and information governance processes.
• Advise on insider trading policies, equity transaction reporting, corporate governance documents, and securities law compliance.
• Provide cross-coverage for equity and debt capital markets transactions, including diligence, disclosure schedules, KYC requests, closings, and post-closing compliance.
• Advise Finance, Accounting, Investor Relations, HR, and other business stakeholders on corporate and securities matters.

Requirements

• Juris Doctor degree from an accredited law school and active membership in good standing in at least one U.S. state bar.
• 4–7 years of corporate and securities experience at a top-tier law firm, focused on corporate governance, securities compliance, and regulatory reporting.
• Expertise in board and stockholder governance, securities disclosure obligations, and insider trading compliance.
• Working knowledge of capital markets transactions, including Rule 144A and private placements.
• Strong analytical, communication, organizational, and problem-solving skills, with the ability to manage sensitive information and multiple projects.
• Proficiency with Google Workspace, Microsoft Office, and AI tools including Claude and Gemini.
