Corporate Attorney (Web3)

Location: USA (Remote); eligibility to practice as in-house counsel in California required

Salary: $190,000–$280,000 annual US base salary, plus tokens, equity compensation, benefits, and potential annual refresh grants.

What you will do

• Lead and support strategic transactions, including joint ventures, investments, acquisitions, dispositions, spinouts, and restructurings.
• Advise the General Counsel, executives, and business leaders on corporate governance and strategic legal matters.
• Structure and execute corporate finance, treasury, equity, debt, employment, executive compensation, and token compensation matters.
• Support international operations, including the formation and governance of subsidiaries and other entities.
• Draft, review, and negotiate transaction documents, corporate agreements, Board and stockholder materials, policies, and legal documentation.
• Manage outside counsel, assess legal and business risks, and improve corporate legal processes, templates, and systems.

Requirements

• 8+ years of relevant legal experience, including significant experience at a leading law firm or high-growth technology company.
• Strong corporate law foundation with experience in corporate governance and complex transactions, such as M&A, joint ventures, investments, restructurings, financings, or subsidiary governance.
• Ability to independently lead complex matters, coordinate cross-functional stakeholders, and provide practical advice under imperfect information.
• Strong executive communication, business judgment, collaboration, ownership, and integrity.
• J.D. from an accredited law school and membership in at least one U.S. state bar; eligibility to practice as in-house counsel in California.
• Interest in blockchain technology and willingness to develop expertise in the Web3 ecosystem.

Nice to have

• Prior Web3 or cryptocurrency experience.
• Experience working with specialist counsel and external advisors on novel legal issues.
