TL;DR
Legal Counsel (Web3): Structuring and negotiating commercial agreements, strategic partnerships, acquisitions, asset purchases, and acqui-hires across the digital asset ecosystem with an accent on corporate and commercial law, transaction diligence, and token-based consideration. Focus on advising cross-functional stakeholders, navigating securities and token-classification issues, and executing complex multi-jurisdictional transactions.
Location: New York, United States; Workplace: Hybrid. Preference is for the role to be based in New York, NY, and relocation assistance is available for the right candidate.

supports a global digital asset business spanning commercial partnerships, products, and strategic transactions.
What you will do
- Draft, review, and negotiate commercial agreements covering strategic partnerships, technology and software, integrations, vendors, and services.
- Partner with Business Development, Product, and other teams to structure commercial arrangements and support partner integrations from negotiation through launch.
- Support acquisitions, asset purchases, acqui-hires, and other strategic transactions from evaluation through signing, completion, and post-transaction integration.
- Conduct and coordinate legal due diligence, identify material risks, and translate findings into practical recommendations.
- Draft and negotiate NDAs, LOIs, term sheets, purchase agreements, IP transfer arrangements, and related transaction documents.
- Improve commercial templates, contracting processes, and legal playbooks to help the business operate efficiently at scale.
Requirements
- 4+ years of experience as a practising lawyer with a strong background in corporate and commercial law.
- Experience handling complex transactions, acquisitions, commercial agreements, and legal due diligence.
- Experience in fintech, crypto, or digital assets, including knowledge of securities law issues and token classification.
- Familiarity with DeFi protocols and on-chain or DAO governance structures.
- Experience structuring transaction consideration involving tokens, as distinct from cash or equity.
- Strong commercial judgment, autonomy, communication skills, and experience coordinating work across multiple jurisdictions and with senior stakeholders.
Nice to have
- Experience at a leading law firm or in-house legal team within a technology or financial services environment.
- Experience coordinating specialist external counsel.
