Associate General Counsel, Corporate & Transactions

Location: Hybrid role based in Bridgewater, New Jersey, United States. Applicants must be authorized to work in the United States and complete Form I-9 and E-Verify employment verification.

Salary: $256,073–$336,097 USD base pay per year, plus eligible performance-based bonus and/or equity.

What you will do

• Lead the drafting, review, and negotiation of complex strategic, business development, and licensing transactions.
• Act as the primary Legal resource for contractual obligations, disputes, and other matters related to the Janssen collaboration and BCMA program.
• Lead the U.S. and EU contracting function and supervise, mentor, and develop three direct reports.
• Oversee contracting policies, templates, playbooks, and contract lifecycle management systems.
• Support corporate governance, securities, Board and committee matters, subsidiary management, and intercompany arrangements.
• Maintain records for U.S. and EU subsidiaries and collaborate with tax, accounting, and other stakeholders.

Requirements

• 10+ years of relevant legal experience, including complex strategic transactions and life sciences licensing.
• Strong knowledge of life sciences collaborations, licensing arrangements, contractual obligations, and relationship management.
• Experience advising senior leadership, Boards, and cross-functional R&D, Business Development, Clinical, Medical, Commercial, Operations, and Finance stakeholders.
• Experience leading a contracting function or legal operations process, including managing direct reports.
• J.D. from an accredited U.S. law school or equivalent, with strong academic achievement.
• Admission to practice law in one or more U.S. states, including New Jersey admission or eligibility for in-house qualification in New Jersey, and U.S. work authorization.

Nice to have

• Experience in a global publicly traded life sciences company.
• Knowledge of the Federal Food, Drug and Cosmetic Act, False Claims Act, Anti-Kickback Statute, Foreign Corrupt Practices Act, and related laws.
• Proficiency with Microsoft Office Suite and digital contract lifecycle management tools.
