SEC & Corporate Governance Attorney (AI)

Location: Remote - USA

Salary: $168,470–$252,705 USD annually, plus annual bonus opportunity.

What you will do

• Lead legal review and preparation of SEC filings, including Forms 10-K, 10-Q, 8-K, proxy statements, and Section 16 filings.
• Advise leadership and the Board of Directors on U.S. securities law, Regulation FD, insider trading, disclosure controls, and governance requirements.
• Prepare Board and committee materials, resolutions, minutes, governance policies, and annual shareholder meeting materials.
• Support executive compensation disclosures, equity compensation plans, Say-on-Pay matters, and shareholder approval requirements.
• Provide securities law guidance for M&A, financing, capital markets, strategic investments, and related due diligence.
• Administer compliance programs, deliver training, and assess and mitigate legal and regulatory risks.

Requirements

• Juris Doctor degree from an accredited law school.
• Active membership in at least one U.S. state bar.
• 7–10 years of relevant experience in public company securities law, SEC reporting, disclosure, corporate governance, capital markets, and corporate transactions.
• Experience with a major law firm, publicly traded company, or both.
• Deep knowledge of the Securities Exchange Act of 1934, Securities Act of 1933, Regulation FD, Section 16 requirements, Nasdaq listing standards, and corporate governance practices.
• Strong legal drafting, business judgment, executive communication, project management, and risk assessment skills.

• Experience supporting technology, software, AI, or multinational public companies.
• Experience advising Boards of Directors and executive leadership teams.
• Familiarity with executive and equity compensation matters.
• M&A and capital markets transaction experience.
