Senior Commercial Counsel (AI)

Location: Hybrid work from the Toronto office, with office attendance required on Monday, Tuesday, and Thursday. The conditions also list Vancouver, British Columbia, Canada.

Salary: CAD 147,000–183,000 annually, plus equity.

What you will do

• Negotiate and close customer agreements, order forms, schedules, statements of work, partner agreements, and channel deals.
• Handle security questionnaires, privacy and DPA negotiations, and commercial inquiries from international customers.
• Lead vendor contracting across software, accounting, professional services, marketing, consulting, events, and other operational agreements.
• Advise sales, customer success, procurement, finance, marketing, security, and go-to-market stakeholders on commercial legal matters.
• Improve contracting operations through agreement templates, workflow enhancements, and AI-powered legal processes.
• Manage an independent portfolio of matters from intake through signature, including risk assessment, deal structure, escalation, and dispute resolution.

Requirements

• Common-law law degree such as a J.D., LL.B., or equivalent.
• Good standing with the Law Society of Ontario; other Canadian jurisdictions or US qualification may also be considered.
• 8+ years of experience in commercial technology transactions, ideally across law firm and in-house software environments.
• Experience with SaaS agreements, DPAs, NDAs, SOWs, and partner agreements.
• Demonstrated independent judgment, attention to detail, and ability to manage a high volume of matters in a fast-moving environment.
• Practical experience using AI tools and legal technology, including understanding their limitations and applying them according to risk.
