Legal Counsel (AI)

Location: Hybrid in Vancouver, Canada. The role includes the option to work anywhere in the world for 60 calendar days per year.

Salary: CAD 120,000–160,000 per year, depending on experience.

What you will do

• Own the deal desk, including MSAs, order forms, change orders, DPAs, and NDAs.
• Draft and negotiate customer contracts, redlines, procurement terms, and enterprise agreements.
• Build contract templates, negotiation playbooks, fallback positions, approval thresholds, and scalable contracting workflows.
• Own contractual security and privacy matters, including data processing, data residency, subprocessors, security exhibits, SLAs, questionnaires, and audits.
• Review vendor, integration, and data licensing agreements, including AI usage, data rights, and model training terms.
• Partner with leadership, Sales, Operations, Product, Engineering, and external counsel on corporate, employment, partnership, regulatory, and AI governance matters.

Requirements

• JD, bar admission, and approximately 2–5 years of legal practice experience.
• Admission to the bar in a Canadian or US jurisdiction is required.
• Hands-on experience drafting and negotiating commercial agreements, ideally including MSAs, order forms, DPAs, or vendor agreements.
• Working knowledge of data protection, data residency, subprocessors, security terms, and privacy regimes applicable across Canada and the US.
• Strong commercial judgment, communication skills, negotiation ability, and comfort explaining legal risks to non-lawyers.
• Interest in AI-native legal workflows, ambiguity, and building legal infrastructure from the ground up.

Nice to have

• In-house experience at a technology or SaaS company.
• Experience with AI, machine learning, data licensing, insurance, or another regulated industry.
• Exposure to SOC 2 or ISO 27001.
• Experience building AI-assisted contract review or negotiation workflows.
• Startup or scale-up experience.
