Senior Counsel, Corporate Governance & Assistant Corporate Secretary (Financial Services)

Location: Minneapolis, Minnesota, United States; hybrid arrangement with at least four days per week in the office and up to one day working from home.

Base salary: $193,200–$236,100 per year, plus potential variable compensation and benefits.

What you will do

• Advise executive leadership and the Board of Directors on corporate governance, corporate law, securities law, and public company matters.
• Lead compliance with NYSE listing standards and public company governance reporting requirements, including proxy statement and governance disclosures.
• Support Board and committee agenda development, meeting materials, official corporate records, governance guidelines, and committee charters.
• Oversee insider trading compliance and securities reporting obligations, including Section 16 and Rule 144 requirements.
• Provide legal guidance on dividends, acquisitions, restructurings, dissolutions, shareholder engagement, investor outreach, and shareholder proposals.
• Monitor regulatory and executive compensation trends, modernize governance frameworks, and lead a team of governance and board operations professionals.

Requirements

• Law degree from an accredited law school and 7–10 years of experience as a practicing lawyer.
• Significant knowledge of corporate and federal securities laws applicable to public companies, preferably in financial services.
• Experience building credibility and effective relationships with business partners, executive leaders, Board members, and external constituencies.
• Ability to organize and deliver large, ongoing projects with competing priorities and deadlines.
• Excellent written, verbal, interpersonal, analytical, and legal drafting skills.
• Must have valid United States work authorization without requiring visa sponsorship now or in the future.
