TL;DR
Corporate Counsel (Securities & Corporate Governance) (Public-company legal): Advising on securities disclosures, SEC and NYSE compliance, corporate governance, insider trading, and equity compensation with an accent on public-company reporting and board support. Focus on preparing Exchange Act filings, managing Section 16 obligations, researching governance developments, and supporting securitization and funding matters.

Location: Richmond, Virginia, United States; based at the home office and onsite four days per week

Salary: $143,800–$230,100 annually, with potential bonus and equity eligibility.

What you will do

  • Support SEC and NYSE compliance, including drafting and reviewing Forms 8-K, 10-Q, 10-K, and 14A.
  • Prepare Section 16 filings for officers and directors and administer insider trading policy processes.
  • Support corporate governance activities, including board and committee meetings, shareholder meetings, D&O questionnaires, and board communications.
  • Monitor shareholder engagement, proxy advisor developments, and corporate governance trends.
  • Support equity compensation plans, asset-backed securitization, and other funding mechanisms.
  • Collaborate on cross-functional legal projects, new products and services, and special initiatives.

Requirements

  • Law degree and active membership in good standing with the bar of a U.S. jurisdiction.
  • At least three years of legal experience in a law firm and/or in-house legal department.
  • Substantive experience advising public companies on securities law, corporate governance, and/or capital markets matters.
  • Ability to develop and execute plans with minimal direction.
  • Excellent written, verbal, analytical, reasoning, problem-solving, interpersonal, and leadership skills.
  • Current authorization to work full-time in the United States and ability to work onsite in Richmond four days per week.
