Assistant Counsel (Asset Management)

Location: Chicago, United States; hybrid

Salary: USD 180,000–215,000 yearly, plus eligibility for an annual discretionary bonus.

What you will do

• Support the review, drafting, negotiation, and maintenance of investment management agreements, sub-advisory agreements, side letters, subscription documents, amendments, and related legal documents.
• Support the launch, operation, and ongoing maintenance of commingled funds and separate accounts.
• Assist with legal aspects of new business initiatives, strategic projects, product development, client onboarding, and investment guidelines.
• Research asset management, investment advisory, securities, and other regulatory matters and assess their impact on the business.
• Review RFPs, due diligence requests, client disclosures, vendor contracts, confidentiality agreements, and other corporate contracts.
• Coordinate with internal teams, senior attorneys, committees, and outside counsel on legal, regulatory, transactional, governance, and risk matters.

Requirements

• J.D. degree from an accredited law school.
• Licensed to practice law in Illinois.
• Two to three years of experience in asset management, investment funds, or financial services at a top-tier law firm or in-house; newly admitted attorneys with relevant experience may also be considered.
• Strong legal drafting, written communication, analytical, organizational, and problem-solving skills.
• Ability to manage multiple assignments, prioritize under tight timelines, review complex documentation, identify issues, and perform risk-based legal analysis.
• Ability to collaborate effectively and learn complex legal, regulatory, and business concepts in asset management.

Nice to have

• Familiarity with, or interest in learning, the Investment Advisers Act of 1940, Investment Company Act of 1940, Securities Exchange Act of 1934, Securities Act of 1933, and ERISA.
