Senior Counsel - Securities

Location: Hybrid, requiring three days in office per week in Philadelphia, New York, or Baltimore; applicants must be authorized to work in the United States.

Salary: $150,000–$200,000 annually, plus eligibility for an annual bonus.

What you will do

• Prepare, review, coordinate, and file SEC disclosures, including 10-K, 10-Q, 8-K, S-3, S-8, and proxy statements.
• Review earnings announcements, scripts, press releases, investor presentations, and related communications.
• Monitor securities laws, SEC regulations, NYSE listing requirements, proxy guidance, and governance practices.
• Manage Section 16 reporting and insider trading compliance, including trading windows, blackout periods, pre-clearance, and 10b5-1 plans.
• Support disclosure workflow improvements, capital markets transactions, debt financings, and share repurchases.
• Manage external law firms, advise internal stakeholders, and participate in cross-functional legal working groups.

Requirements

• JD from an ABA-accredited law school.
• At least five years of relevant legal experience advising on securities law, SEC reporting, and compliance matters.
• Licensed or eligible to practice in the applicable state.
• Strong written and oral communication, sound judgment, agility, and adaptability in a fast-paced corporate environment.
• Proficiency with Microsoft Office.
• U.S. work authorization without immigration sponsorship or employer-of-record immigration support is required.

Nice to have

• Significant experience drafting and coordinating SEC filings and earnings releases.
• Experience supporting public company reporting through a law firm, regulatory agency, or publicly traded company.
• Experience with debt and equity offerings and building SEC reporting processes.
