Legal Counsel – International & US Corporate Law (Energy & Infrastructure)

Location: Abu Dhabi, United Arab Emirates. The role requires full mobility for frequent international travel between the UAE, United States, and Asia, subject to passport and visa status permitting travel to the US and Schengen area.

Abu Dhabi–headquartered energy and infrastructure developer working on large-scale gas and LNG projects, including liquefaction facilities, marine infrastructure, and long-term offtake arrangements.

What you will do

• Act as the dedicated legal reference for a major LNG development involving multiple jurisdictions and project partners.
• Advise senior management on corporate structuring, transactions, project risks, and regulatory matters.
• Structure and negotiate joint-venture, shareholder, EPC, offtake, transportation, and other long-term commercial agreements.
• Manage cross-border legal work involving the UAE, United States, and Asian offtake markets.
• Instruct and coordinate external US counsel while operating as a standalone legal function.
• Support project finance negotiations with international lenders, export credit agencies, and equity partners.

Requirements

• Law degree with qualification or admission in a US, European, or Canadian jurisdiction.
• 8–12 years of post-qualification experience in an international law firm or the in-house legal function of an energy, LNG, oil and gas, power, or infrastructure company.
• Strong knowledge of US corporate law, including entity structuring, joint ventures, M&A, corporate governance, and energy and infrastructure regulation.
• Experience with major capital projects, US project development and permitting processes, including FERC, DOE export authorisations, and state-level approvals.
• Experience with international commercial and contract law, cross-border transactions, arbitration, and project finance.
• Fluent English and full mobility for frequent international travel are required.

• Admission to a US state bar.
• Direct experience with a US LNG or midstream project.
